1. Introduction

1.1 These Terms and Conditions (T&C) constitute a legally binding agreement between Stylogram (hereinafter referred to as “we,” “us,” or “our”) and you (“retailer,” “partner,” or “you”) concerning your use of our platform, website, mobile app, and associated services.

1.2 By registering as a retail partner, you acknowledge that you have read, understood, and agreed to comply with these terms.

1.3 Stylogram reserves the right to amend these terms at any time without prior notice. Updated terms will be available on our platform, and it is your responsibility to review them regularly.


2. Eligibility

2.1 To become a retail partner, you must:

    • Be a legally registered business entity.
    • Provide accurate and verifiable business details during the registration process.
    • Comply with all applicable local, state, and national laws governing retail businesses.

2.2 Stylogram reserves the right to approve or reject applications based on our internal criteria.


3. Registration and Account Creation

3.1 Retail partners must register on the Stylogram platform by providing accurate and complete information, including business name, contact details, GST number (if applicable), and other required information.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials. Stylogram will not be liable for unauthorized access to your account due to your failure to secure your login details.

3.3 Stylogram reserves the right to suspend or terminate accounts that violate these terms or engage in fraudulent activities.


4. Products and Inventory

4.1 Stylogram offers an extensive range of premium fashion products, including men’s, women’s, and kids’ apparel, which retail partners can sell.

4.2 Inventory is subject to availability. Stylogram will regularly update product listings, but we cannot guarantee continuous availability of all items.

4.3 Retail partners must adhere to the product pricing guidelines provided by Stylogram to maintain uniformity and market standards.

4.4 Retailers are prohibited from altering or misrepresenting Stylogram’s products in any way that might harm the brand’s reputation.


5. Financial Terms

5.1 Credit Facility:

    • Stylogram, in partnership with financial institutions like Pinelabs, Razorpay, and PayU Money, provides credit facilities up to ₹20 lakhs to eligible retail partners.
    • Approval of credit is subject to the terms and conditions of the lending partners.

5.2 Payments and Settlements:

    • Retail partners are required to make timely payments for product orders.
    • Any delay in payments may attract penalties or interest as per the terms agreed upon during the partnership.

5.3 Refunds and Deductions:

    • Refunds for defective or incorrect products will be processed after verification.
    • Any deductions for damages caused by the retailer will be notified beforehand.

6. Marketing and Support

6.1 Stylogram provides professional digital marketing support through campaigns on platforms such as Facebook, Instagram, Google, and YouTube.

6.2 Retailers are encouraged to use the personalized WhatsApp shop feature to promote their store and connect directly with customers.

6.3 Stylogram provides marketing materials, such as banners and posters, which must be used in accordance with the brand’s guidelines. Unauthorized alterations are prohibited.


7. Delivery and Logistics

7.1 Stylogram ensures fast and reliable delivery services, with products typically delivered to customers within 2 hours.

7.2 Retailers are expected to cooperate with Stylogram’s logistics partners to ensure smooth operations.

7.3 Any disputes related to delayed or incorrect deliveries must be reported to Stylogram within 48 hours.


8. Retail Partner Responsibilities

8.1 Retail partners must:

    • Maintain an organized and presentable retail space.
    • Ensure that Stylogram products are prominently displayed and promoted.
    • Provide excellent customer service to uphold Stylogram’s brand image.

8.2 Retailers are prohibited from selling counterfeit or unauthorized products under the Stylogram name.


9. Termination of Partnership

9.1 Either party may terminate this agreement by providing a written notice of 30 days.

9.2 Stylogram reserves the right to terminate the partnership immediately in cases of:

    • Fraudulent activities.
    • Breach of these terms.
    • Actions damaging to Stylogram’s reputation.

9.3 Upon termination, all outstanding payments and obligations must be settled.


10. Intellectual Property

10.1 All trademarks, logos, product images, and marketing materials provided by Stylogram remain the exclusive property of Stylogram.

10.2 Retail partners are granted limited, non-exclusive rights to use Stylogram’s intellectual property for promotional purposes only during the term of the partnership.

10.3 Unauthorized use of Stylogram’s intellectual property is strictly prohibited.


11. Limitation of Liability

11.1 Stylogram is not responsible for any indirect, incidental, or consequential damages arising from the use of its platform or services.

11.2 Stylogram’s total liability for any claim is limited to the amount paid by the retailer for the services in question.


12. Privacy and Data Protection

12.1 Stylogram is committed to protecting your data in accordance with our [Privacy Policy].

12.2 Retail partners must ensure that customer data obtained through Stylogram is used solely for order fulfillment and customer support.


13. Governing Law and Disputes

13.1 These terms are governed by the laws of India.

13.2 Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in [Your City/Region].


14. Miscellaneous

14.1 This agreement constitutes the entire understanding between Stylogram and the retail partner and supersedes all prior agreements.

14.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

03. The order

When do I receive my order?

When placing the order, a day of shipment is indicated. After the order has been placed, the same delivery time will also be stated on the order confirmation. It is therefore never possible that during the order, the shipping day on the website, is different than on the order confirmation.

I now see the longer delivery time of (a part of) my order. How can I cancel it?
If the order has a longer delivery time than you had previously seen, it is of course possible to cancel (a part of) the order. For this you can contact our customer service. They will cancel the order for you. The purchase amount will be back on your bank account within two working days. When an order has already been shipped, it can no longer be cancelled.
When will I receive the invoice for my order?
When you have paid for the order, you will not automatically receive an invoice for your order. If you wish to receive an invoice, this can be done in two ways.The first way is through your account at our store. When you log in to your account you can see your orders and download the invoice.
